Kpali is a bill-payment service. These terms explain, in plain language, what you can expect from us and what we ask of you. Where something is still to be settled by our lawyers, it is marked rather than papered over.
1 · Who we are
Kpali is operated by [company legal entity and registration — to be completed before launch]. In these terms, "Kpali", "we" and "us" mean that company, and "you" means the person using the service.
Kpali has not launched yet. This site describes the product being built, and these terms take effect when the service does.
2 · What the service is
Kpali lets you pay everyday bills and buy everyday top-ups: airtime, mobile data, travel eSIMs, electricity, TV, internet, water, gas, education payments, betting-account funding and digital gift cards. You hold a balance with us, denominated in US dollars, and spend it on these services.
Which services, providers and products are available depends on your country. Availability varies by country and can change as providers are added, removed or suspend service. We do not promise that any particular service or provider will always be available.
3 · Your account
You need an account to use Kpali. You are responsible for keeping your sign-in credentials safe and for what happens under your account. You must be at least 18 years old, or the age of majority where you live, whichever is higher.
You do not need to submit an identity document to open an account, browse, or pay bills. Verification in Kpali is attached to specific ways of moving money out, not to signing up — see section 8.
4 · Funding your balance
You fund your Kpali balance by sending supported stablecoins (such as USDT or USDC) to a deposit address we give you, or by a naira bank transfer to a one-time account number we give you — in the app, or on the store-credit page of our website (section 15). Your balance is then held in US dollars and spent on bills.
Before we show you a deposit address, we tell you how money can leave Kpali in your country, so you know the way out before anything goes in.
Your balance is a prepayment for services. It is not a bank deposit, it earns no interest, and it is not an investment product.
5 · Paying a bill
- We look accounts up before you pay. For account-based bills (electricity meters, TV decoders, betting accounts and similar), Kpali looks the account up first, so the name on the screen is the name being paid. Check it: a payment sent to the account number you confirmed is a payment you authorised.
- The price you see is the price you pay. Every fee is shown before you confirm a payment. We never add a fee after the fact, and we never charge a fee that was not on the screen.
- Every payment leaves a receipt. You get a record of what was paid, to whom, for how much, and when.
6 · When a payment does not go through
A bill payment ends in one of four ways, and we tell you which one honestly rather than guessing:
- Delivered. The service was delivered — the token issued, the top-up landed, the code arrived. The payment is complete and your receipt shows it.
- Refused. The provider definitively refused the order before anything was delivered. You are not charged: the amount is returned to your Kpali balance.
- Reversed. In rare cases a provider accepts payment and the order later fails, or delivers and is later reversed by the operator. When that happens we reconcile with the provider and return to your balance what you are owed, once the reversal is confirmed.
- Being checked. Sometimes the outcome is genuinely unknown for a while — a provider times out or goes silent. We will say so, and we will not mark the payment either way until we know. We do not retry a payment whose outcome is unknown, because that can pay twice.
Refunds go back to your Kpali balance. We do not promise "instant" refunds: where a provider must confirm an outcome, the refund follows that confirmation, and the timing depends on the provider.
7 · Getting money out
Every supported country always has at least one way to withdraw. We will never hold your balance in a country with no route out.
There are two kinds of withdrawal route:
- Local payout routes — withdrawal to a local bank account or mobile money wallet, in local currency, where we have a working rail for your country. These routes are provided through our payment partners and are only offered where we have proven they work.
- The stablecoin refund route — available in every supported country. Below the verification threshold (section 9), this route returns funds as USDT or USDC only to an address you have already deposited from. It is a refund — your money going back the way it came — not a way to send money to someone else.
A withdrawal to a bank or mobile money account is only sent after the receiving account has been resolved and shown to you.
8 · Identity verification
Verification in Kpali attaches to the route your money takes, not to your account:
- Browsing and paying bills: no identity document is required.
- Withdrawing to a local bank or mobile money account: you must provide the identity credential the local rail requires — for example, a BVN for Nigerian bank accounts, a Ghana Card for Ghanaian banks and mobile money, or a national ID elsewhere. This is not a Kpali preference: the receiving bank or mobile money operator requires a verified identity before it will accept a transfer, and no threshold makes that go away.
- Withdrawing by the stablecoin refund route above the threshold in section 9: you must verify with a government-issued photo ID.
Our payment partners — the companies that operate the payout rails — will make sure they verify users when payouts move through their rails, for compliance. They may require and perform their own verification, in addition to anything Kpali asks for, and a payout can be declined by a partner whose verification requirements are not met.
We always tell you what a route requires, and why, before you choose it — never after your money is in flight.
9 · Verification threshold
The stablecoin refund route is free of identity requirements up to a cumulative $2,000 over any rolling 30-day period. Above that, withdrawal requires a verified photo ID.
This is the current threshold and it is subject to change, including as compliance requirements are finalised for launch. The threshold applies to your rolling 30-day withdrawal volume, not to individual withdrawals — splitting a withdrawal into smaller pieces does not avoid it. Local bank and mobile money routes have no unverified allowance at any amount (section 8).
10 · Fees
Any fee Kpali charges is shown to you before you confirm the payment or withdrawal it applies to. If a fee was not shown, it is not charged. Third parties outside our control — for example, a blockchain network fee on a stablecoin transfer, or your bank's own charges — may apply their own costs; where we know them, we show them.
11 · Acceptable use
You agree not to use Kpali:
- for anything unlawful where you are, or where the bill is being paid;
- to disguise the origin of funds or move money for someone whose identity is being concealed;
- with someone else's identity credentials or payment details;
- to interfere with the service, other users, or our providers.
We may suspend or close an account used in these ways, and we may be required to report certain activity to authorities or to our partners. Where the law allows, we will tell you what has happened and what your options are.
12 · Service changes and availability
We work to keep Kpali available, but we do not promise uninterrupted service. Providers, rails and networks we depend on can fail or change. We may add, change or withdraw services and supported countries. Changes to these terms will be posted on this page with an updated date; material changes will be communicated before they take effect.
13 · Liability
We are responsible for operating Kpali with reasonable skill and care, and for the money you have entrusted to us being handled as these terms describe. We are not responsible for losses caused by things outside our control — including failures of telecom operators, utilities, banks, mobile money operators or blockchain networks — beyond putting your money back where these terms say it goes.

14 · Governing law and disputes
These terms are governed by the laws of [governing law — to be completed before launch], and disputes will be handled as set out in [dispute-resolution forum — to be completed before launch]. If you have a problem, contact us first — most issues are resolved by a human reading your receipt.
15 · Store credit bought on the website
You can buy Kpali store credit on one page of our website, kpali.app/store-credit/, by naira bank transfer. It is the only page on the website that takes payment. No Kpali page ever asks for card details; a page that does is not ours.
To buy on the website you give the email address on your Kpali account and an amount in naira, and you confirm that you understand the credit cannot be withdrawn. The email must belong to an existing Kpali account whose email address has been verified in the app; if it does not, the purchase does not start and nothing is created. We then show you a one-time bank account number held by our bank-transfer processor. Transfer exactly the amount shown, from a Nigerian bank account, before the account number expires (30 minutes from when it is shown). The account number is for that one purchase only.
The credit is added to your balance in US dollars at the rate shown to you on the page when you start, which is the rate the app shows at that moment. If your transfer arrives after the account number has expired, or for a different amount from the one shown, nothing is credited automatically: the page tells you what happened, and you contact us with the payment reference so a person can put it right.
Store credit bought on the website cannot be withdrawn. It can only be spent in the Kpali app, on the same goods as any other balance. It is not covered by the withdrawal routes in section 7. When you spend, credit bought on the website is used before any other part of your balance, and the amount you can withdraw is what is left after every unspent website purchase has been set aside. Stablecoin deposits, and any other funding the app itself offers, keep the withdrawal rights described in section 7.
Store credit bought on the website is a prepayment for services in the same way as the rest of your balance (section 4): it is not a bank deposit, it earns no interest, and it is not an investment product.
